This Terms of Use applies and constitutes a legally binding contract between Fixman Venture PLT (“Homezon,” “we,” “us,” “our”) and you with respect to your use of the Homezon website, the Information and Services (each as defined below) (collectively, the “Website”).

Please read these terms carefully before using the Website. Using the Website indicates that you had agreed, understood and accepted to be bound by these Terms of Use. If you do not agree to these Terms of Use, please do not use the Website or any part of the Information or Services.

We shall reserve the right, without prior notice to you, at any time, with or without any cause, to change, modify, add, or remove portions of these Terms of Use for regular updates. Your continue usage on the Website shall constitute your acceptance to the changes.

2. Definition

a) “Content” means any services or products provided on, by to through the Website or as part of or in connection with the Services or information, including but not limited to: data, text, graphics, logos, photographs, images, moving images, sound, illustrations and other materials.

b) “Homeowner” means any registered individual or corporation that submitted a request for professional home services.

c) “Products” means home services product, including but not limited to: Ceiling, Partition, Roofing, Masonry, Doors, Windows, etc.

d) “Renovator” means any registered individual or corporation that specializes in professional home services to offer their Services via the Website.

e) “Services” means professional home services, including but not limited to: Interior Design, Builders/Renovators, Maintenance & Repair, Specialty Contractors, Electricians, Plumbers, Project Management, Design & Drafting, etc.

3. Our Role

You acknowledge that we serve as an online platform to assist in connecting Homeowner’s needs on Services or Products with relevant Renovator. We neither act as Homeowner nor Renovator.

4. Your Representation

By using our website, you represent, warrant and undertake the following:-

a) For individual, you must attain the age of 18 or above;

b) You are, or have intention to register with us as Homeowner or Renovator;

c) You have the capacity and authority to submit request or provide Services or Products

d) Your submitted personal information are accurate and updated at all material time, if not, you may amend or update accordingly by login into your registered account anytime

e) Your use on the Website does not violate any applicable law or regulations which you are subject to

f) To keep us indemnify for any potential losses resulted from your misrepresentation above; and

g) You agree to make payment (if any), for any requested services or products through the use of the Website.

5. Account and Password

You may stay anonymous while browsing our Website. However to enjoy the full experience of our Website, you may enact to register an account with us and certain personal information (such as your name, e-mail address, etc) will be requested by us in order to identify you. You may create a preferred username and corresponding password to such effect.

a) You are solely responsible for safeguarding your password and to all activities that occurs in your account. Similarly, all losses or damages incurred therefore shall be borne by you.

b) You shall never use other person’s account without permission.

c) You shall notify us for any suspicious/unauthorized breach of use of your account.

d) If we have reason(s) to believe there is likely to be a breach of security or misuse of the account, we may require you to change your password or we may suspend your account.

6. Additional Terms applicable to Renovator

a) We only grant you a non-transferable and revocable license to use the Website subject to the compliances with these Terms of Use. This authorized you to view and download a single copy of Homezon’s Content or material solely for your use directly related to the Homeowner’s requested Services or Products.

b) We also grant you a limited, terminable, non-exclusive right to use the Website for your internal use only.

c) You are responsible for maintaining the confidentiality of your Renovator account.

d) You represent, warrant and undertake the Content published by you will not violate any laws or regulations or any third-party proprietary rights, including but not limited to: copyright, trade mark, obscenity, rights or publicity or privacy, and defamation laws.

e) If at any time during your use of the Website, you made a misrepresentation of fact to Homezon or misled us in regards to your business activity or breach of the Terms herein, we may terminate your use of the Website and any payment made by you shall be forfeited.

f) You understand and acknowledge if your Renovator account is terminated pursuant to above, all your account information will be marked as deleted and maybe deleted from Homezon’s database. Delay in deletion is anticipated if such occurs.

7. Use of Services and Information

a) All the Content of the Website, whether posted publicly or transmitted privately, are the sole responsibility of the person from whom such Content originated.

b) All the Content of the Website is provided on an “as is” basis without any representations, endorsement or warranty of any kind, either express or implied from Homezon.

c) We will not be liable in any way for any Content or for any loss or damage of any kind resulting from the use of any Content transmitted via the Services or Products and you agree to bear all risks associated with the use of any Content, including any reliance on the accuracy or completeness of such Content.

d) We reserve the right to review all kind of materials posted to a communications facility and, at its sole discretion, to remove any material at any anytime, without prior notice given.

8. Posting, Submission & Non-Confidentiality

a) Without prejudice to our privacy policy, any information you provide, including but not limited to, any postings, messages, text, photographs, images, sound and illustrations audio/visual to Homezon through or in connection with this Website will be treated as non-confidential and non-proprietary. Anything you transmit or post becomes the property of Homezon or its affiliates who are free to use the provided information in any manner that we deem appropriate or necessary in accordance with our privacy policy.

b) You agree that no submissions provided by you to the Website will violate any right of any third party, including copyright, trademark, privacy or other personal or proprietary right(s). You are and shall remain solely responsible for the Content of any submissions you make.

c) Through your usage of this Website, you may submit and/or Homezon may gather certain limited information about you and your Website usage. Homezon is free to use such information as stated in our privacy policy.

9. Third Party Products and Services

a) You may be provided the opportunity to purchase Products and Services offered and sold by third parties through the Websites. The information provided for any Product listing is provided by Homezon’s third-party vendors, and, while we require vendors to provide complete, accurate and non- misleading Products information, we do not represent, warrant or guarantee that such Products descriptions are accurate, complete, reliable, current, or error-free, and we are not responsible for, and disclaim any liability arising from or relating to, such Products listing information.

b) All purchases of Products made by you through the Services are a direct sale and purchase between you and the applicable vendor/Renovator. Homezon is not a party to such transaction, and only facilitates the transaction between you and the vendor/Renovator by providing a marketplace for the marketing, offering and sale of Products. Payments for Products transacted through the Service will be remitted to the vendor/Renovator, and the vendor/Renovator will be solely responsible for fulfilling and shipping your order, providing related customer support and warranty service and processing returns and exchanges. The Website will facilitate your communication with the vendor/Renovators for the purpose of making return, exchange or warranty requests or making claims for non-delivery, damaged goods or items not as described in accordance with any applicable terms or policies in the Products listing. In addition, the Websites may alert you to any Products issues or recalls of which the vendor/Renovator notifies Homezon. Homezon does not provide any warranty on any of the Products, whether express or implied, and does not assume, and hereby disclaims, any responsibility or liability for the actions or inactions of the third-party vendors/Renovator of such Products, or for the Products offered, sold or provided by, any third party through the Website.

(i) Descriptions or images of, or references to, third-party Products or publications on the Website do not imply our endorsement of such Products and publications, and we are not responsible for, and disclaim any endorsement of, any such Product or publication.

(ii) Reviews are solely the opinions of the users that post them and none of the Reviews contain or reflect any opinions or views of Homezon.

10. Term and Termination

a) These Terms of Use will continue to apply to you until terminated by either you or us.

b) Homezon reserve the right at any time and from time-to-time modifies or discontinue, temporary or permanently, the Website or any part of it with or without notice with our own sole discretion. You agree that we shall not be liable to you or to any third party for any amendments, suspension or discontinuance of our Website.

c) Homezon reserve the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of your Content from the Website and immediate termination of your registration with or ability to access the Website and/or any other services provided to you by us, upon any breach by you of these Terms or if we are unable to verify or authenticate any information you submit to us.

(ii) Your account will be disabled;

(iii) All licenses granted to you is hereby revoked;

(iv) We shall not liable to any losses suffered by you or any third party resulting from the termination hereof;

(v) We retain our right to use the data collected from your use of the Website subject to our privacy policy;

(vi) We are under no obligation to return any data generated or received by you through the use of the Website.

(vii) Upon termination, the following shall occur to your account:-

(viii) You agree to indemnify Homezon and its officers from any claims, potential dispute or lawsuits resulting from the termination hereof.

12. Intellectual Property Right

a) With the exclusion of submissions from Homeowner and Renovators, all intellectual property rights on the Contents and material in the Website, whether registered or not, shall remain Homezon’s property. The entire Contents of the Website also are subject to any relevant Malaysia laws pertaining to Trademark, Patent, Design and Copyright respectively. However, all other trademarks, names and logos on this Website are the property of their respective owners.

b) Data(s) which are supplied to you for your internal use are prohibited from usage outside its purposes. You are not permitted to use, copy, reproduce, distribute or any manner which would result the exploitation of the purpose whatsoever without the prior consent of the respective owner.

13. Links to Other Websites

a) This Website may contain links to other Websites. These are provided solely as a convenience for you and access to any of these linked Websites is at your own risk.

b) We do not control the linked websites and are not responsible for any of these Websites or their content.

14. Non Party to Agreement

a) Nothing contained or implied in these Terms of Use shall constitute or be deemed to constitute Homezon a party to any written or oral agreement between Homeowner and Renovator. Neither party shall have any authority to bind or commit the Homezon through the use of the Website.

b) All renovators are independent and separated from Homezon.

15. Illegality & Severability

If any of the provisions of these Terms of Use becomes invalid, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

16. Governing Law

These Terms of Use are governed under the legislation and jurisdiction of Singapore and Malaysia.

17. Disclaimer & Indemnity
